1. Scope of This Policy

This policy applies to all web design, web development, Shopify development, website optimisation, integrations, migrations, custom builds, and any related digital services provided by Brand Depot (B2R Fashion Wholesale Limited), collectively referred to as “the Services”.

By engaging Brand Depot and making any payment toward the Services, the Client confirms that they have read, understood, and agreed to this policy in full.

2. Commencement of Work

Work is deemed to have commenced when any of the following occurs, whichever happens first:

• A down payment or any part-payment is received
• Access credentials, content, assets, or instructions are provided by the Client
• A project is scheduled, planned, scoped, or initiated by Brand Depot
• Any design, development, research, setup, or preparation work begins

Once work has commenced, the project is considered active and this policy becomes binding.

3. No Refund Policy

Once work has commenced, all payments made are strictly non-refundable under any circumstances, including but not limited to:

• Change of mind
• Change in business direction
• Internal delays on the Client’s side
• Dissatisfaction with subjective design preferences
• Project cancellation by the Client
• Failure of the Client to supply materials or feedback
• Failure of the Client to use or launch the completed work

Because the Services involve time-based labour, intellectual work, and allocation of development resources, the Client expressly waives any right to a refund once work has commenced.

This applies to:

• Down payments
• Deposits
• Part-payments
• Milestone payments
• Full payments

Any refunds or partial refunds, if offered at all, are provided strictly at the sole and absolute discretion of Brand Depot and do not constitute a precedent or waiver of this policy.

4. Payment Obligations

If a down payment or partial payment is made, the Client agrees that:

• The full remaining balance becomes payable in full before the project is completed, delivered, published, or handed over
• Brand Depot is under no obligation to release, deploy, transfer, migrate, or finalise any work until payment is received in full
• Brand Depot may pause, withhold, or suspend work if payments are overdue

Failure to pay the remaining balance does not cancel the Client’s payment obligation and does not entitle the Client to any refund.

5. Ownership and Release of Work

Until full payment has been received:

• All work remains the sole intellectual property of Brand Depot
• The Client has no rights to use, copy, modify, publish, or deploy any part of the work
• Brand Depot is not required to release files, credentials, websites, source code, designs, assets, or access

Ownership transfers to the Client only once full payment has been received and cleared.

6. Project Cancellation by Client

If the Client chooses to cancel a project after work has commenced:

• All payments made remain non-refundable
• The Client remains liable for any outstanding balances
• Brand Depot has no obligation to complete, deliver, or hand over the work

Cancellation does not relieve the Client of payment obligations already incurred.

7. Force Majeure

Brand Depot shall not be liable for delays or failure to perform due to events beyond reasonable control including but not limited to acts of God, system outages, third-party service failures, platform changes, legal changes, or force majeure events.

Such events do not give rise to any entitlement to a refund.

8. Acceptance

By engaging Brand Depot, paying a deposit, or instructing Brand Depot to begin work, the Client confirms their acceptance of this policy and agrees to be legally bound by its terms.

9. Governing Law and Jurisdiction

This policy and any dispute or claim arising out of or in connection with it, its subject matter, or its formation shall be governed by and construed in accordance with the laws of Ireland, and the courts of Ireland shall have exclusive jurisdiction to settle any such dispute or claim.

Subscription Policy for Web Maintenance Contracts
Brand Depot

1. Overview
This Subscription Policy outlines the terms and conditions for the Web Maintenance Contract offered by Brand Depot. By subscribing to one of our maintenance plans, you agree to the terms specified below.

2. Subscription Plans
Brand Depot offers the following web maintenance plans:

• Standard Plan: €199.95 every 28 days
• Premium Plan: €279.95 every 28 days

All contracts are set for a fixed term of 36 months (3 years).

3. Billing and Payments

• Payments will be automatically processed every 28 days from the initial subscription date.
• Subscriptions are non-refundable and non-transferable.
• Late payments may result in suspension of services until the outstanding balance is settled.

4. Contract Term and Early Termination

• The contract duration is 36 months from the start date.
• Should you wish to exit the contract before completion, all remaining balances for the contracted period must be paid in full before termination can be processed.
• Brand Depot reserves the right to terminate a contract in case of violation of our terms of service, non-payment, or fraudulent activity.

5. Amendments and Policy Changes
Brand Depot reserves the right to update or modify this Subscription Policy at any time. Any changes will be communicated to active subscribers at least 30 days in advance.

6. Governing Law
All agreements and disputes arising under this policy shall be governed and interpreted in accordance with Irish law.
